Before you can register to use the Service, you must read the following terms and conditions to ensure you understand the legal terms that govern your use of the Service. You must agree to these terms and conditions before you can access and use the Service. 

In addition to the legal terms set out below, there are also policies and disclaimers, including the AWI Copyright Notice and the AWI Privacy Policy, (the “Policies”) which form part of these terms and conditions. 1. DEFINITIONS

In the interpretation of these terms and conditions the following definitions apply unless the context otherwise requires:

AWI means Australian Wool Innovation Limited, ABN 12 095 165 558;

AWI Copyright Notice means the notice named as such on the AWI Website.  A hard copy can be requested and obtained through AWI;

AWI Privacy Policy means the policy named as such on the AWI Website.  A hard copy can be requested and obtained through AWI;

AWI Website means the website located at http://www.wool.com/;

Business Day means a day in the State of New South Wales, Australia, not being a Saturday, Sunday or a public holiday in New South Wales;

Content means all content, data or information made available through the Service and includes email and SMS communications;

Registered User means a person who, in accordance with these terms and conditions, has registered with AWI to access and use the Service;

Service means the provision of the Content, information and applications contained or comprised in the AWI Website which may be accessed by a Registered User in accordance with these terms and conditions;

Service Access Details means information that enables a Registered User to access and use the Service, including the Registered User's username and password; and

you means a person using or accessing the Service who is a Registered User.

2. BASIS OF PROVISION OF THE SERVICE

2.1 By registering with AWI as a Registered User and using the Service you agree to be bound by these terms and conditions, including the AWI Copyright Notice and AWI Privacy Policy,  and any policies and procedure related to the Service that we notify to you from time to time.

2.2 The provision of the Service relies on factors outside AWI’s control and AWI does not guarantee that the Service is free from fault,  interruptions, defects or viruses.

2.3 Without liability to you, AWI may at any time in its absolute discretion and without prior notice to you:

2.3.1 shut down or suspend the Service; 

2.3.2 disconnect or deny you access to part or all of the Service; or

2.3.3 alter the applications, functionality or type of information accessible from use of the Service.

2.4 You acknowledge that Registered Users have access to the Service, may use different parts of it and may have access to different Content through their use of the Service.  AWI may at any time in its absolute discretion by notice to an effected Registered User alter access rights in relation to the Service enjoyed by the Registered User.

2.5 AWI may delete Content stored whilst you are using the Service, in its absolute discretion, if AWI considers Content to be inappropriate, illegal, offensive or otherwise in breach of any law, standard, regulation or code of practice.  

2.6 AWI  may send e-mails to Registered Users in relation to the Service at any time.

3. REGISTRATION

3.1 You acknowledge that your registration as a Registered User requires you to provide accurate, complete and current information, as required by the applicable registration form.  The registration form must be completed and supplied to AWI electronically through the AWI Website. You agree to notify AWI of any change of the information provided in your registration details (either  through the AWI Website or by sending an email to webmaster@wool.com) to ensure that your Registered User details are accurate, complete and remain current and you warrant that all such information is true and correct.

3.2 You must not provide false information when registering or changing your registration details.

3.3 You agree that you have read and understood AWI’s Privacy Policy and that AWI may collect, use, disclose and otherwise deal with your personal information in accordance with the terms of that policy.

4.  SERVICE ACCESS SECURITY

4.1 Following your registration as a Registered User, AWI will provide you with your Service Access Details. You must treat your Service Access Details as (and keep them) confidential.

4.2  You are responsible for:

4.2.1 any disclosure or loss of your Service Access Details; and

4.2.2 all activities that occur under your Service Access Details.

4.3  You must notify AWI immediately if your Service Access Details have been lost, stolen or otherwise compromised or if you suspect or have cause to suspect that this may have occurred.

4.4 If you forget your password or other Service Access Details then you may apply to AWI for a new password or new Service Access Details;

4.5 You, must not select a password or other Service Access Details which has an easily retrieval combination (such as repeated numbers or letters);

4.6 You must not disclose your password or other Service Access Details to any third party and you must disguise it so that it is not easily recognisable by a third party.

4.7 You must choose a new password whenever you are required to do so by AWI.

4.8 AWI will take reasonable steps to secure the AWI Website and the systems in AWI's control that are used to access the AWI Website.  However, you acknowledge that it is not possible to secure all internet activity and that AWI does not guarantee the security of the AWI Website or Content contained on it.

5. USE OF THE SERVICE

5.1 In using the Service, you agree:

5.1.1  without limiting clause 4.2, to comply with all directions of AWI relating to your use of the Service;

5.1.2  without limiting clause 2.1, that you are entirely responsible for all activities that occur under or in respect of your registration as a Registered User and use of the Service;

5.1.3  without limiting clause 4.4, that you will immediately notify AWI of any unauthorised use of your Service Access Details or other breach of security of which you are aware;

5.1.4  that the Content provided by AWI to you is valuable information and belongs exclusively to AWI;

5.1.5  without limiting clause 2.1, that you have read and understood AWI’s Copyright Notice and that your use of the Service is subject to the terms of the AWI Copyright Notice; and

5.1.6  not to do anything that would amount to a contravention of any applicable law including the Privacy Act 1988 (Cth) or the Spam Act 2003 (Cth).

6. ACCEPTABLE USE POLICY

6.1 In using the Service or the AWI Website, you must not directly or indirectly:

6.1.1 access or attempt to access Content that you are not authorised by AWI to access or use;  

6.1.2 interfere with the rights of others to use the Service or similar services;

6.1.3 conduct or send surveys, contests, pyramid schemes, chain letters, junk email, spam or other duplicative or unsolicited messages (commercial or otherwise);

6.1.4 defame, harass, stalk or threaten any person;

6.1.5 communicate, publish or distribute any defamatory, obscene, indecent, inflammatory or unlawful material or information that could otherwise give rise to civil or criminal proceedings;

6.1.6 advertise or offer to sell or buy any goods or services, or otherwise exploit the Service for a commercial purpose;

6.1.7 collect personal data or information about others, including email addresses without the person's consent;

6.1.8 create a false identity for the purpose of misleading others as to the identity of the sender or the origin of any message;

6.1.9 carry out activities, reproduce, upload, transmit or otherwise communicate any information, computer programs or other material that would violate these terms and conditions or any third party rights, including intellectual property rights such as unauthorised copyrighted text, images or programs, trade secrets or other confidential proprietary information, or rights of privacy or any other rights under applicable laws, standards, regulations or codes of practice;

6.1.10 interfere with or disrupt networks connected to the Service or violate the regulations, policies or procedures of such networks;

6.1.11 attempt to gain unauthorised access to any parts of the Service, other accounts, computer systems or other networks connected or related to the Service, through password mining or any other means;

6.1.12 alter Content provided by AWI;

6.1.13 knowingly transmit to or via the AWI Website any 'virus', 'worm', 'Trojan Horse', 'trapdoor', 'software switch', 'time bomb', 'slicing routine', 'corruptive code', 'logic bomb', 'disabling code' or  'disabling routine' as these words are generally understood from time to time within the technology industry and any equivalent or similar corruptive mechanisms contained in software; or

6.1.14 place a link to any other website without the prior written consent of AWI and on terms satisfactory to AWI.

7. PRIVACY POLICY AND MONITORING OF THE SERVICE

7.1  You agree that personal information (as described in the AWI Privacy Policy) may be collected and used by us, both in connection with your use of the Service and otherwise, in accordance with the terms of that policy.  You warrant that any data containing personal information provided by you has been obtained and given with all necessary consents. Without limiting the terms of the AWI Privacy Policy, you agree that we may use or disclose such personal information to send you emails or direct marketing material providing general information about products or services that AWI provides or that are available from other persons.

7.2  Without limiting the terms of the AWI Privacy Policy, you agree that AWI may (but is not obliged to) monitor and collect information in relation to your use of the Service.  You also agree that AWI may use that information for purposes connected with AWI's ongoing provision of the Service or in connection with AWI's activities from time to time.  AWI may also disclose that information in connection with such activities, including to its licensees, partners or other persons involved in AWI's business from time to time.  The information collected may include information relating to the volume and nature of the use of the Service.   

8. DISCLAIMER OF WARRANTIES

8.1 Without limiting the terms of the AWI Copyright Notice, you agree that the Service may only be used by Registered Users for general information purposes and that each Registered User is responsible for independently verifying the accuracy of all Content upon which the Registered User will rely.

8.2 Without limiting clause 2.4, AWI makes no warranty that the Service will meet your requirements, be uninterrupted, timely, or defect or error-free. Any material downloaded from the Service is done at your own risk and you are solely responsible for any damage to your computer system or loss of data that may result from the download.

8.3 Content supplied to a Registered User through the AWI Website will not be supplied in an encrypted form, and each Registered User must be aware that there is a risk that a third party may attempt to intercept and/or read that information. AWI will take all reasonable steps available to it to ensure the security of such information but, in accordance with clause 9, accepts no responsibility for any loss or damage arising from any interception or unauthorised access to the information.

8.4 To the extent permitted by law and subject to any express warranty, condition or representation agreed in writing by AWI, all warranties, conditions and representations about the Service, including the availability of the Service for use and the Content available from use of the Service are excluded. Where a term is implied by law and that law prohibits provisions in a contract excluding or modifying liability under that term, then AWI agrees to observe and adhere to that term. However, AWI's liability for breach of such term will be limited, at AWI's option, to supplying the Service again or paying the cost of having the Service supplied again.

9. LIMITATION OF LIABILITY

9.1 To the extent permitted by law, AWI shall not be liable for any direct, indirect, consequential or special loss or damages or for loss of profit or loss of business opportunity which may be suffered or incurred directly or indirectly resulting from:

9.1.1 the use of the Service;

9.1.2 interception, or unauthorised access to or alterations of your transmissions, data or other information;

9.1.3 activities resulting from the loss or misuse of the Service Access Details;

9.1.4 statements or conduct of any third party on the Service; or

9.1.5 any other matter relating to the Service or the Content.

10. INTELLECTUAL PROPERTY RIGHTS

The Content and material in the AWI Website may be the subject of copyright and you must not copy or otherwise permit the copying the Content and material in the AWI Website.

You acknowledge that 'AWI' is a trade mark of Australian Wool Innovation Limited and may not be used or reproduced without the prior written consent of AWI.

11. CHANGES

AWI may modify any of these terms of use at any time, and such modifications shall become effective immediately upon posting of a notice of such modification on the AWI Homepage.   You will have to renew you agreement to these terms and conditions every time such changes occur and shall be deemed your conclusive.

12. INDEMNITY

You agree to indemnify AWI and its associated entities, officers, employees, consultants and agents from and against all loss, damage and expense (including indirect and consequential loss or damage and legal expenses) incurred by them arising directly or indirectly out of or in connection with a breach of these terms and conditions (including AWI Copyright Notice and AWI Privacy Policy) by you, or from your activities in connection with the Service or related services.

13. APPLICABLE LAW

You agree that the laws of the State of New South Wales in Australia apply to these terms and conditions. You submit to the non-exclusive jurisdiction of the courts of that state.

14. SEVERABILITY

The provisions of these terms and conditions are severable.  If any provision in these terms and conditions is found to be invalid or unenforceable then the provision is to be severed from the remainder of this agreement which is to remain in full force and effect.

15. WAIVER

Any specific waiver of a provision of these terms and conditions must be in writing and signed by the party granting the waiver.

16. INTERPRETATION

16.1 In the interpretation of these terms and conditions, the following provisions apply unless the context otherwise requires:

16.1.1 Headings are inserted for convenience only and do not affect the interpretation of these terms and conditions.

16.1.2  A reference in these terms and conditions to any law, legislation or legislative provision includes any statutory modification, amendment or re-enactment, and any subordinate legislation or regulations issued under that legislation or legislative provision.

16.1.3  A word which denotes the singular also denotes the plural, a word which denotes the plural also denotes the singular, and a reference to any gender also denotes the other genders.

16.1.4  A reference to the word ‘include’ or ‘including' is to be construed without limitation.

17. NOTICES

17.1  AWI may notify you of changes to its terms and conditions by posting notices to you on the AWI Website.

By selecting ‘I have read and accept AWI's Terms and Conditions *, you acknowledge and signify that you are 18 years or over, have read and understood these terms and conditions and that you agree to be bound by them.

You have read and understood the AWI Privacy Policy.
